Synertone AGM: 100% Shareholder Support Secures Re-elections, Auditor Renewal and Fresh Issuance & Buy-back Mandates

Synertone Communication Corporation (Synertone) reported unanimous investor backing at its Annual General Meeting held on 28 August 2026. All six ordinary resolutions were passed by poll with 1.09 billion votes in favour and zero votes against, reflecting 71.20% of the company’s 1.54 billion issued shares.

Key outcomes are as follows:

1. Financial Statements Adopted Shareholders approved the audited consolidated financial statements and directors’ and auditor’s reports for the fiscal year ended 31 March 2026.

2. Auditor Re-appointment Prism Hong Kong Limited was re-appointed as auditor. The Board is authorised to determine its remuneration.

3. Board Composition Secured Independent non-executive directors Mr. Xu Wei and Mr. Xu Dongsen were re-elected, ensuring continuity in Synertone’s governance structure.

4. Director Remuneration Authority The Board received authorisation to set directors’ remuneration for the coming year.

5. Capital Management Flexibility • Repurchase Mandate: Directors can repurchase up to 10% of issued share capital. • Issuance Mandate: Directors can issue, allot and deal with new shares up to 20% of issued share capital. • Extension Mandate: The share issuance limit can be increased by the amount of shares actually repurchased under the above mandate.

Governance & Participation Tricor Investor Services Limited acted as scrutineer. No shareholders were required to abstain, nor were there any votes against or abstentions recorded. Executive Director Mr. Han Weining chaired the meeting in person, while other board members participated via telephone except Ms. Li Mingqi, who was absent due to other commitments.

With comprehensive approval of all proposals, Synertone’s Board retains full authority over audit engagement, capital distribution, and strategic issuance or buy-back decisions for the forthcoming period.
