Ta Yang postpones circular to 30 June 2026, revises Capital Reorganisation and Rights Issue timetable

Ta Yang Group Holdings Limited announced a further delay in dispatching the shareholder circular for its proposed Capital Reorganisation and Rights Issue. The circular—originally scheduled for release on or before 24 April 2026—is now expected on or before 30 June 2026, as more time is required to finalise the contained information.\n\nAs a result, the company released a revised timetable:\n\n• Extraordinary General Meeting (EGM): Record date and meeting set for 17 July 2026, with proxy submissions due by 15 July 2026 and share transfer cut-off on 10 July 2026.\n\n• Capital Reorganisation: Subject to approval, the effective date is targeted for 27 July 2026. Free exchange of existing share certificates into new share certificates will run from 27 July 2026 to 31 August 2026.\n\n• Rights Issue: The last cum-rights trading day is 27 July 2026; ex-rights trading begins 28 July 2026. The register closes 30 July – 5 August 2026, with the record date on 5 August 2026. Prospectus documents are slated for dispatch on 6 August 2026, nil-paid rights trading runs 10 – 17 August 2026, and final acceptance and payment cut-off is 20 August 2026. Conditional results announcement is planned for 25 August 2026, with fully-paid rights shares expected to commence trading on 27 August 2026.\n\nTa Yang emphasised that all dates remain indicative and may be adjusted, with any changes to be announced in accordance with Hong Kong Listing Rules.
