S Robot Edu appoints Rainbow Capital as Independent Financial Adviser; trading remains suspended

Shentong Robot Education Group Company Limited (abbreviated as S Robot Edu) announced on 9 September 2026 that Rainbow Capital (HK) Limited has been engaged as the Independent Financial Adviser (IFA). The firm, licensed for Type 1 (dealing in securities) and Type 6 (advising on corporate finance) activities under the Hong Kong SFO, will advise the Independent Board Committee and Independent Shareholders on three matters:

1. The proposed Debt Capitalisation 2. The Subscription Agreement and the grant of the Specific Mandate 3. The Whitewash Waiver

The Independent Board Committee has formally approved the appointment in accordance with Rule 2.1 of the Hong Kong Takeovers Code. Rainbow Capital’s opinion letter will be included in a circular to be dispatched to shareholders.

Trading in S Robot Edu shares has been suspended since 9:00 a.m. on 14 October 2025 and will remain halted until the company fulfils the Stock Exchange’s Resumption Guidance. Further updates will be released in compliance with GEM Listing Rules.

The board currently comprises two executive directors—He Chenguang (Chairman) and Bao Yueqing—and three independent non-executive directors—Yip Tai Him, Han Liqun, and Chen Lei.
