东风汽车集团有限公司（“东风公司”）、东风汽车集团（武汉）投资有限公司（“要约人”）与东风汽车集团股份有限公司（“东风汽车集团”，股份代号：489）宣布，通过吸收合并方式对东风汽车集团进行私有化的相关条件尚有部分未达成。
东风汽车集团此前发布的联合公告显示，本次合并（即将东风汽车集团私有化）与分派嵐图股份事宜均设有多项先决条件。其中，关于嵐图股权或股份持有人的批准事项已于2025年9月19日达成，但国家发展和改革委员会、商务部以及国家外汇管理局等机构的相关批复或备案仍在办理；介绍上市方面也须取得中国证监会国际合作司及联交所的若干核准，目前尚未满足。
公告指出，合并协议的生效及实施取决于上述条件能否全面达成或获豁免。此外，合并有效后，需进一步满足包括分派嵐图股份的条件方可完成交易。三方提示，既无法保证合并协议必然生效，也不能确保交易最终实施或完成。
