Redco Properties outlines 2026 AGM agenda: director re-elections, 20% issue mandate, 10% buy-back cap, Articles overhaul

Redco Properties Group Limited will convene its 2026 annual general meeting on 26 June 2026 in Hong Kong. Key resolutions are set out below.

General mandates • Issue mandate: Directors seek authority to allot, issue or transfer treasury shares of up to 20% of the issued share capital (excluding any treasury shares). Based on the 3.55 billion shares in issue on 22 May 2026, the limit equals 710.32 million shares. • Buy-back mandate: Directors may repurchase up to 10% of issued shares, or 355.16 million shares, over the next year. A separate resolution would extend the issue mandate by the number of shares actually bought back.

Board composition • Re-election of executive directors Mr Wong Yeuk Hung (Chairman) and Mr Tang Chengyong, and independent non-executive director Dr Tam Kam Kau. • All three are eligible and offer themselves for re-election after retiring by rotation.

Auditor • ZSZH (HK) Fuson CPA Limited (formerly SFAI (HK) CPA) is nominated for re-appointment as external auditor for the financial year ending 31 December 2026 at a fee not exceeding HK$3.55 million.

Articles of Association • Shareholders will vote on a comprehensive amendment and restatement of the Articles to: – allow hybrid and fully electronic shareholder meetings; – permit electronic voting; – enable the Company to hold, resell and transfer treasury shares; – align with the Stock Exchange’s paperless listing regime effective June 2024; and – incorporate housekeeping and consequential updates.

Other information • The board recommends retaining flexibility to pay directors additional remuneration for special services and to establish pension or benefit schemes. • The Company had no treasury shares as of the latest practicable date. • Closure of register: 23–26 June 2026 (both days inclusive). Shareholders must lodge transfers by 4:30 p.m. on 22 June 2026 to qualify for attendance and voting.

All AGM resolutions will be decided by poll, with results released on the Stock Exchange and company websites after the meeting.
