永义国际(1218)宣布，旗下间接全资附属公司佳豪于2025年11月25日（交易时段后）与买方许英龙、刘俊明及Fast Upgrade Limited签署协议，出售所持有的高山(616)2023年可换股票据未偿还本金金额约47.17%。该交易总代价为25,000,000港元，比对应未偿还本金价值21,875,000港元溢价3,125,000港元。
根据公告，2023年可换股票据初始本金金额为209,000,000港元，年息率为5%，可自发行后至2028年2月19日前随时按调整后的换股价转换为高山股份。公告显示，截至本次交易前，永义国际集团持有的上述可换股票据未偿还本金金额为46,375,000港元。此前，集团于2025年9月5日已部分出售相应债权。
高山(616)主要从事物业发展及投资、证券及其他投资及贷款融资业务。其截至2025年3月31日止年度，经审核营业额为44,857,000港元，除税前亏损374,725,000港元，资产净值约2,814,785,000港元。
公告称，在目前经济不明朗的环境下，变现此项金融资产投资将有助于增强集团流动资金状况。交易完成后所得款项主要用作一般营运资金，包括支付行政开支及偿还银行贷款本息。由于可换股票据尚未被转换为高山股份，公告预计出售所得收益约为3,125,000港元。根据香港上市规则，因本次出售与先前出售的可换股票据部分未偿本金合并计算后适用百分比率超逾5%但低于25%，构成须予披露交易，需遵守相关申报及披露规定。
