SCE CM Schedules 28 May 2026 AGM; Agenda Covers FY-2025 Results, Board Re-elections and Fresh Capital Mandates

SCE Intelligent Commercial Management Holdings Limited (SCE CM, 00606) will convene its 2026 annual general meeting on 28 May 2026 at 3:00 p.m. (Hong Kong time) at R2, United Conference Centre, 10/F, United Centre, 95 Queensway, Admiralty, Hong Kong. Shareholders on record as of the close of business on 21 May 2026 are eligible to attend and vote; the register of members will be closed from 22 May to 28 May 2026 inclusive. Proxy forms must reach Computershare Hong Kong Investor Services by 3:00 p.m. on 26 May 2026.

Key resolutions to be decided by poll include:

• Financial Statements: Adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditors’ reports.

• Board Composition and Remuneration: Re-election of executive directors Mr Wong Lun, Mr Niu Wei and Mr Sun Qiang, and authorisation for the board to determine directors’ remuneration.

• Auditor Appointment: Re-appointment of Prism Hong Kong Limited as external auditor for the financial year ending 31 December 2026, with remuneration to be set by the board.

• Share Issuance Mandate: Authorisation for the board to allot, issue or deal with new shares— including any sale or transfer of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM.

• Share Repurchase Mandate: Permission for the board to repurchase up to 10% of the issued share capital (excluding treasury shares) as at the AGM date.

• Mandate Extension: Approval to extend the share issuance mandate by adding the number of shares repurchased under the aforementioned repurchase authority.

The meeting’s outcomes will set the direction for SCE CM’s capital management and board composition for the coming financial year.
