滨化集团股份有限公司（股票代码：06745）8月14日公告称，公司董事会已审议通过《关于开展期货及衍生品套期保值业务的议案》，计划在未来12个月内投入不超过2亿元保证金或权利金，用于商品及外汇等相关期货、衍生品套期保值操作。该议案仍需提交股东会审议。
根据公告，公司任一交易日持有的期货及衍生品合约价值上限为20亿元，资金来源均为自有资金，可在授权期限内循环滚动使用。
本次套期保值标的包括烧碱、丙烯、液化石油气、甲醇、铂等大宗商品及外汇。交易场所为境内外经监管机构批准且具有相关业务资格的金融机构。若单笔交易存续期超过授权期限，授权将顺延至该笔交易终止。
公司指出，开展套期保值业务旨在对冲产品、原材料价格及汇率波动风险，保障主营业务稳健运行。公司已制定《期货及衍生品套期保值业务管理制度》，并设立领导、管理、执行、风控及监督等工作小组，落实审批权限、资金调度、止损机制及风险控制措施。
公告提示，此类交易仍可能面临市场、资金、技术、操作及违约等风险，公司将持续加强内部管控和人员培训，选择资信良好的合作机构，以降低潜在风险。
