AIA Adds CNY500.00 Million Tier-2 Notes; Unaudited Q1 2026 VONB Jumps 17% to USD1.76 Billion

AIA Group Limited (AIA) has released a pricing supplement for the issue of CNY500.00 million 2.88% subordinated dated securities due 30 April 2036. The tranche, issued at 99.401% plus accrued interest, will be consolidated on 23 July 2026 with the CNY2.50 billion notes priced on 30 April 2026, taking the series to CNY3.00 billion under the company’s USD18.00 billion Global Medium Term Note and Securities Programme.

The new securities, intended solely for professional investors, qualify as Tier 2 group capital under Hong Kong Insurance Authority rules. Coupons are fixed at 2.88% per annum, payable semi-annually on 30 April and 30 October, with final maturity on 30 April 2036. AIA holds a par call option from 30 January 2036 to maturity and a make-whole call from the issue date to the par-call date; additional redemption options cover taxation, regulatory and rating events, and a minimal outstanding amount trigger. The notes will list on the Hong Kong Stock Exchange on 15 June 2026 (stock code: 85121). S&P Global Ratings and Fitch have assigned an expected “A” rating to the tranche.

Gross proceeds are approximately CNY498.70 million (about USD69 million), with settlement set for 12 June 2026 via delivery against payment through the CMU, Euroclear and Clearstream systems. Standard Chartered Bank acted as sole dealer.

Alongside the issuance details, AIA provided an unaudited financial snapshot for the three months ended 31 March 2026:

• Value of New Business (VONB) rose 17% year on year to USD1.76 billion, while the VONB margin edged down 1.5 percentage points to 56.0%. • Annualised New Premiums (ANP) increased 20% to USD3.15 billion. • Total Weighted Premium Income (TWPI) grew 17% to USD14.87 billion.

Operating trends varied across markets. AIA China’s VONB surged 32% on continued momentum in its Premier Agency and bancassurance channels, including 23% growth from protection products. AIA Hong Kong delivered 21% VONB growth, driven by both domestic and Mainland Chinese visitor demand. AIA Thailand’s VONB fell 12% due to a high prior-year base, while AIA Singapore, AIA Malaysia and Other Markets achieved positive VONB growth. The data have not been audited or reviewed and may be subject to change.

Separately, AIA announced the retirement of Independent Non-executive Director Mr Jack Chak-Kwong So on 22 May 2026.
