Art Group Holdings Limited (Art Group) has disclosed two successive equity movements in Edgeon Data Co. Ltd (Edgeon) through a voluntary business update filed on 2 October 2026.

Art Group completed the acquisition of 583,712 Edgeon shares—equal to 6.87 % of Edgeon’s issued capital—for KRW585.75 million (approximately HK$2.93 million). The purchase lifted Art Group’s holding from 17.90 % to 24.77 %.

Subsequently, Edgeon issued 5,852,115 new shares, representing 40.78 % of its enlarged share base. This capital raise diluted Art Group’s interest from 24.77 % to 14.67 %, amounting to a deemed disposal of 10.10 % equity.

Management states that increasing the stake aligned with plans to expand into the data-centre segment by securing greater exposure to Edgeon’s property-based server-space business. The subsequent share issuance is intended to bolster Edgeon’s working capital and strengthen its financial position.

Under Hong Kong Listing Rules, each transaction’s percentage ratios were below the 5 % threshold, so neither the further acquisition nor the deemed disposal qualifies as a disclosable transaction. Even when aggregated with prior dealings, the ratios remain below the levels previously announced.

The Board, including independent non-executive directors, regards the terms of both transactions as arm’s-length, commercially reasonable and in the overall interests of shareholders.
