GREAT CHI HLDGS appoints Ms. Chung Wai Hang as Independent Director, replacing Hermann Leung to meet gender-diversity rule

Great China Holdings (Hong Kong) Limited (abbreviated as GREAT CHI HLDGS) has announced two board‐level changes effective 2 October 2026.

Mr. Hermann Leung Kwan has resigned as Independent Non-Executive Director (INED) and relinquished his seats on the Audit, Remuneration and Nomination Committees. The departure stems from personal reasons and the need to align with Hong Kong Listing Rules on INED tenure. Mr. Leung confirmed no disagreements with the Board and no additional matters requiring shareholder attention.

Ms. Chung Wai Hang, aged 57, has been appointed to fill all three vacated positions—INED, Audit Committee member, and member of both the Remuneration and Nomination Committees—starting the same date. Holding a Bachelor of Social Science from Lingnan University and a Master of Science (International Real Estate) with distinction from the UK’s Royal Agricultural University, Ms. Chung brings roughly 30 years of experience in Hong Kong private and public companies. Her expertise spans real-estate development, corporate governance, investment, and asset management. She currently serves as an INED at Solargiga Energy Holdings Limited and Dynasty Fine Wines Group Limited.

Under a three-year appointment letter, Ms. Chung will receive an annual director’s fee of HK$0.15 million, subject to customary rotation and re-election provisions.

With this appointment, GREAT CHI HLDGS satisfies: 1. Listing Rule 13.92, requiring gender diversity on the board; and 2. Corporate Governance Code Provision B.3.5, mandating at least one director of a different gender on the Nomination Committee.

Post-change, the Board comprises one Executive Director (Chairman Huang Shih Tsai), one Non-Executive Director (Li Zhizhen), and three Independent Non-Executive Directors (Cheng Hong Kei, Kam Eddie Shing Cheuk, and newly appointed Chung Wai Hang). The company extended its appreciation to Mr. Leung for his service and welcomed Ms. Chung to the Board.
