BCQ’s 2025 AGM Approves RMB1.01 Billion Final Dividend; All 10 Resolutions Secure Shareholder Support

Bank of Chongqing Co., Ltd. (BCQ) reported that all 10 ordinary resolutions tabled at its 2025 Annual General Meeting (AGM) on 23 June 2026 were passed by poll, reflecting broad shareholder endorsement of the board’s proposals and governance agenda.

Shareholder Participation • Voting rights attached to 3.42 billion shares were eligible; 165 shareholders and proxies representing 2.66 billion shares—approximately 77.77% of those entitled—cast votes.

Key Voting Outcomes • 2025 Board Work Report, Final Financial Accounts and 2025 Annual Report each received at least 99.98% support. • The 2026 Financial Budget Proposal garnered 95.87% support, the lowest approval rate but still comfortably above the 50% threshold. • Estimated Annual Caps for 2026 Related-Party Transactions were approved with 99.19% in favour; interested shareholders, including Chongqing Yufu Capital Operation Group and related entities, abstained from voting as required. • Shareholders elected Mr. Shi Xiaosheng as Non-executive Director with 99.51% support; his appointment remains subject to regulatory review by the Chongqing Bureau of the National Financial Regulatory Administration.

Dividend Declaration • A final dividend of RMB 2.918 per 10 shares (RMB 0.2918 per share, tax-inclusive) for FY2025 was sanctioned. • Based on 3.47 billion shares outstanding at 31 December 2025, the total cash payout will amount to RMB 1.01 billion. • Record date for H-shareholders: 15 July 2026; payment date: 20 August 2026. • H-shareholders may elect to receive the dividend in either Renminbi or Hong Kong dollars. Without election, payment defaults to HKD, converted at RMB 0.86953 per HKD (PBoC central parity rate on AGM date). Election forms must reach the H-share registrar by 31 July 2026.

Governance and Audit Matters • Remuneration measures for directors and senior management were each approved with 99.99% support. • Deloitte Touche Tohmatsu (assumed from context of “External Auditors”) was reappointed for FY2026, with 99.997% approval.

Next Steps • Upon regulatory clearance, Mr. Shi will commence his term through the end of BCQ’s seventh board session; his remuneration will be paid to his nominating entity rather than directly to him.
