Sinopec Shanghai Petrochemical Company Limited Updates Nomination Committee Rules

On 29 March 2012, Sinopec Shanghai Petrochemical Company Limited (the “Company”) approved the Rules of Procedure of the Nomination Committee of the Board, which define the committee’s role in formulating director and officer selection criteria, reviewing candidates’ qualifications, and overseeing corporate governance practices. The first amendment to these rules was made on 22 October 2025.

The amended Rules of Procedure clarify that the Nomination Committee operates under the Board of Directors, with most members required to be independent non-executive directors. The rules outline responsibilities that include investigating director and officer candidates, assessing their independence status, making recommendations on appointments and reappointments, and supporting the Company’s regular evaluation of the Board’s performance.

Further provisions address the committee’s structure, meeting procedures, and confidentiality requirements. Any candidate for a director or officer position must give consent before being considered, and members must avoid conflicts of interest by abstaining from votes where appropriate. The updated version also stipulates that the committee’s expenses are included in the Company’s budget and that external consultants may be engaged to assist when necessary.
