Texwinca: Shareholders Approve All AGM Resolutions, Confirm HK6.0-Cent Final Dividend and Renew Mandates

Texwinca Holdings Limited reported that every resolution tabled at its 20 August 2026 Annual General Meeting was approved by poll.

Key outcomes • Financial Statements & Auditor’s Report: 916.69 million votes (99.97%) supported adoption of the FY 2025/26 accounts. • Final Dividend: A cash dividend of HK6.0 cents per share was confirmed with 917.00 million votes cast in favour and none against. • Board Composition: Eight directors—including Executive Directors Mr Poon Bun Chak and Mr Poon Ho Tak—were re-elected with approval rates ranging from 95.85% to 99.93%. • Directors’ Remuneration: The board received authority to set remuneration, backed by 903.50 million votes (98.53%). • Auditor Re-appointment: Deloitte Touche Tohmatsu was re-appointed with 914.48 million votes (99.72%). • Share Mandates: – Share buy-back mandate up to 10% of issued shares passed with 916.80 million votes (99.98%). – General issuance mandate up to 20% of issued shares passed with 838.66 million votes (91.46%). – Extension of the issuance mandate (adding repurchased shares) secured 795.70 million votes (86.77%). • Bye-laws Update: A special resolution to adopt amended and restated bye-laws gained 871.03 million votes (94.99%), comfortably above the 75% threshold.

Voting base The company had 1.38 billion issued shares eligible to vote; no voting restrictions were in place. Tricor Investor Services Limited acted as scrutineer.

Board attendance Executive Directors Mr Poon Ho Tak, Mr Ho Lai Hong and Mr Wu Chi Hang, together with Independent Non-Executive Directors Mr Law Brian Chung Nin, Ms Lin Kit Yee Anna and Mr Lee Wai Yip Alvin, were present in person at the meeting.

The approvals secure Texwinca’s dividend distribution timetable, maintain board continuity, and renew the authorities required for capital management in the year ahead.
