Maxnerva to Seek Shareholder Approval for Director Re-elections, PwC Re-appointment and 10% Share Buy-back Mandate at 3 June 2026 AGM

Maxnerva Technology Services Limited has issued its 2026 AGM circular outlining four key proposals for shareholder approval at the meeting scheduled for 3 June 2026 in Hong Kong.

1. Director Re-elections • Independent non-executive directors Mr. Kan Ji Ran Laurie, Prof. Zhang Xiaoquan and Mr. Kam Chi Sing will retire by rotation and stand for re-election. • Mr. Kan has served on the Board since 2015 and has been confirmed as independent under Listing Rule 3.13. • Each re-election will be voted on by separate ordinary resolutions.

2. Auditor Re-appointment • The Board, on Audit Committee recommendation, proposes re-appointing PricewaterhouseCoopers as external auditor until the next AGM. • The estimated audit fee is approximately RMB1.80 million, subject to final negotiation.

3. 10% Share Repurchase Mandate • The Board seeks a general mandate to repurchase up to 10% of the issued share capital during the mandate period. • Based on 706.17 million shares outstanding as of 20 April 2026, the mandate would permit repurchase of up to 70.62 million shares. • The company holds no treasury shares, and no repurchases were made in the six months preceding the circular date.

4. Administrative Matters • Shareholders of record as of 28 May 2026 are eligible to vote. • All resolutions will be decided by poll.

The Board recommends shareholders vote in favour of all proposed resolutions at the forthcoming AGM.
