Aluminum Corporation of China Limited: Proposed Capital Injection into Yunnan Aluminum Foil

Aluminum Corporation of China Limited announced that on 27 October 2025, its subsidiary Yunnan Aluminum Co., Ltd. obtained board approval to enter into a capital contribution agreement with Chinalco High-end Manufacturing Co., Ltd., Northwest Aluminum Co., Ltd., China Copper (Kunming) Copper Co., Ltd., and Chinalco Aluminum Foil (Yunnan) Co., Ltd. (Yunnan Aluminum Foil).

According to the proposal, a total of RMB906.45 million will be contributed to Yunnan Aluminum Foil through cash or assets. Chinalco High-end will provide RMB229 million in cash, Yunnan Aluminum will invest RMB500 million in cash, and Kunming Copper will supply RMB177.45 million through cash and assets. Northwest Aluminum will not participate. Upon completion, Yunnan Aluminum Foil’s registered capital will increase from RMB800 million to RMB1,147.3973 million. The equity interests will be held as follows: Chinalco High-end at 68.31%, Northwest Aluminum at 9.06%, Yunnan Aluminum at 16.70%, and Kunming Copper at 5.93%.

All parties involved are subsidiaries of Chinalco, the controlling shareholder of Aluminum Corporation of China Limited. The transaction is therefore deemed a connected transaction under the Hong Kong Listing Rules, and two directors of Aluminum Corporation of China Limited abstained from voting due to concurrent positions with Chinalco. No concrete agreement has been signed as of the announcement date, and further disclosures will be made if and when a formal agreement is executed.
