Hisense Home Appliances Group Co., Ltd. (00921) disclosed that between 4 September 2025 and 11 February 2026, the company and its subsidiaries collectively subscribed to fixed-income wealth management products from Western Trust with a total principal of RMB1.7 billion. These subscriptions were financed using idle self-owned funds, with the expected returns subject to market fluctuations.
All products fall under a medium-to-low risk profile and primarily invest in government bonds, local government bonds, and central bank bills. The subscription agreements span several dates and involve Hisense Home Appliances Group, Hisense Air Conditioning Co., Ltd., and Guangdong Hisense Refrigerator Marketing Co., Ltd., each entering into separate contracts with Western Trust, a non-bank financial institution ultimately owned by the State-owned Assets Supervision and Administration Commission of Shaanxi Province.
Under Hong Kong Listing Rules, each individual subscription does not by itself trigger a discloseable transaction threshold. However, when aggregated, the total subscription amount results in applicable percentage ratios exceeding 5% but below 25%. Consequently, these transactions collectively constitute discloseable transactions, subject to reporting and announcement requirements.
Hisense Home Appliances Group and its subsidiaries specialize in the research, development, manufacture, and sales of home appliances including air conditioners, refrigerators, and related products. This round of entrusted wealth management is intended to enhance the efficiency in using idle funds and will not adversely affect the company’s daily operations or the interests of shareholders. The board deems the terms of the subscriptions to be on normal commercial grounds, fair, reasonable, and serving the overall best interests of the company and its shareholders.
