China Re Sets 26 Jun 2026 AGM to Approve 2025 Results, Dividend and Rolling Capital Plan

China Reinsurance (Group) Corporation will convene its 2025 Annual Shareholders’ Meeting on 26 June 2026 at 9:30 a.m. in Beijing. The on-site meeting will be held on the 6th and 24th floors of China Re Building, No. 11 Jinrong Avenue, Xicheng District.

Key ordinary resolutions: • Elect Mr. Zhang Xueyong as an independent non-executive director for the fifth board session. • Approve the Board of Directors’ 2025 report, final financial accounts and 2025 profit-distribution plan. • Endorse the 2026 fixed-asset investment budget and the three-year rolling capital plan for 2026-2028. • Confirm the appointment and remuneration of statutory financial-reporting auditors for 2026.

Special resolution: approve external donations for 2026.

Shareholders will also review (without voting) directors’ and independent directors’ 2025 performance reports, the evaluation of directors and supervisors, the overall related-party transaction report, solvency analysis for 2025 and the 2026-2027 renewal arrangements for liability insurance covering directors, supervisors and senior management.

Share-transfer details: • Attendance and voting entitlement: the register of members closes from 23 June 2026 to 26 June 2026 (both days inclusive); record date is 26 June 2026. • Dividend entitlement: the register closes from 3 July 2026 to 8 July 2026; shareholders on record as of 8 July 2026 qualify for the 2025 final dividend, subject to shareholder approval.

Proxies must be lodged with Computershare Hong Kong Investor Services no later than 9:30 a.m. on 25 June 2026. All meeting resolutions will be decided by poll, and results will be published on the websites of China Re and HKEx.

The meeting is expected to last half a day; attendees are responsible for their own travel and accommodation costs. As at the notice date (5 June 2026), the Board comprises two executive directors, three non-executive directors and three independent non-executive directors.
