True Partner Capital Holding Limited（股票代码：8657）公告称，原定不迟于2026年2月25日寄发的“根据可换股债券特别授权建议发行可换股债券及申请清洗豁免”有关通函，将延迟至不迟于2026年3月4日寄发。该调整已获执行人员表示有意同意。
此前，公司于2026年2月4日就建议发行可换股债券及清洗豁免发布公告，并于2026年2月5日及2026年2月24日先后发布了年度盈利警告及盈利警告澄清公告。根据收购守则规则，相关通函本应在公告日期起21日内寄发。但由于公司需额外时间编制并落实清洗豁免通函所载资料，包括收购守则要求的重大变动声明（如有）、独立财务顾问意见函件以及针对盈利预警公告内若干陈述的报告，公司决定延后寄发时间。
公告还指出，清洗豁免须经执行人员及独立股东批准后方可生效，可换股债券能否发行取决于相关豁免是否获批。公司提醒股东及潜在投资者在买卖公司证券时务必审慎，如有疑问应咨询专业顾问。
