康特隆科技有限公司（「康特隆」）与Zhuangyan Investment International Limited（「要约人」）于2026年6月29日联合发布公告，宣布延迟寄发有关要约的综合文件。
据公告披露，双方曾于2026年6月8日发布联合公告，内容涉及根据特别授权进行认购事项及配售事项、建议增加法定股本以及要约。根据收购守则规则8.2，综合文件原应于该联合公告日期后21日内（即2026年6月29日或之前）寄发予独立股东，其中需包含要约详情、独立董事委员会意见函件及独立财务顾问意见函件等内容。
由于认购事项及配售事项在上述时限内尚未完成，而要约须待认购事项完成（与配售事项完成互为条件）后方可提出，要约人已根据收购守则规则8.2注释2申请延长寄发综合文件的时限。执行人员已同意将寄发时限延长至不迟于认购事项最后截止日期后七日，即2026年8月7日。
康特隆董事会主席为林强，要约人董事为Zhuang Hezhong。双方董事均确认，就其所知，公告所载资料准确无误，意见经审慎考虑后得出，无遗漏重要事实。
