Sino Land Company Limited will hold its Annual General Meeting on 27 October 2026 at 9:30 a.m. in the Grand Ballroom, Conrad Hong Kong. Shareholders will vote by poll on several key resolutions.
1. Core Business Items • Approval of the audited financial statements and Directors’ and Independent Auditor’s Reports for the year ended 30 June 2026. • Confirmation of a final dividend, subject to shareholder approval.
2. Board and Auditor Resolutions • Re-election of three directors: Mr Daryl Ng Win Kong, The Honourable Ronald Joseph Arculli and Ms Nikki Ng Mien Hua. • Authorisation for the board to set directors’ remuneration for the year ending 30 June 2027. • Re-appointment of KPMG as external auditor, with remuneration to be fixed by the board.
3. Capital Management Mandates • Share Buy-Back: Authority for the board to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised bourses during the mandate period. • Issuance Mandate: Authority to allot, issue or deal with additional shares—plus convertible securities—up to 20% of the issued share capital (excluding treasury shares). • Mandate Extension: Any shares repurchased under the 10% buy-back authority can be added to the 20% issuance limit.
4. Key Timetable for Shareholders • Books close for AGM voting: 22–27 October 2026, inclusive; record date 27 October 2026. • Books close for the proposed final dividend: 2–3 November 2026; record date close of business 3 November 2026. Share transfers for dividend eligibility must be lodged by 4:30 p.m. on 30 October 2026.
5. Voting and Logistics • Shareholders may appoint one or more proxies; all resolutions will be decided by poll. • Contingency arrangements are in place for severe weather or government-declared “extreme conditions.”
