B.Duck Semk (2250) Announces New Merchandise Supply and Services Framework Agreement

B.Duck Semk Holdings International Limited (Stock Code: 2250) has announced a Merchandise Supply and Related Services Master Framework Agreement covering the period from 1 January 2026 to 31 December 2026. Under this arrangement, the company and its subsidiaries intend to procure toys, apparel, related warehousing, and logistics services from ENS Toys, ENS Apparel, and ISA Global. These entities are connected persons through the company’s controlling shareholder.

A proposed annual transaction cap of HK$48.29 million for 2026 has been set. The agreement aims to facilitate efficient procurement of merchandise and optimize cost-effectiveness through integrated warehousing and logistics support. The board of directors views the terms as fair, reasonable, and in the interests of all shareholders.

An Extraordinary General Meeting is scheduled for 16 December 2025 at 3:00 p.m., in Shenzhen, China. During that time, independent shareholders will vote on whether to approve the agreement and the related transaction cap. According to the announcement, the independent financial adviser also considers the arrangement fair and reasonable. Shareholders intending to vote must note the register of members closure from 12 December 2025 to 16 December 2025. If approved, this new agreement would replace the existing framework upon its expiry and take effect on 1 January 2026.
