CLOUDR Maintains 645.72 Million Issued Shares in March; Convertible Bond Could Add 16.65 Million Shares

ClouDr Group Limited (CLOUDR) filed its Monthly Return on Movements in Securities for the period ended 31 March 2026, confirming a month of capital stability with no changes in issued or authorised share capital.

• Authorised capital unchanged – Authorised share count remained at 1.00 billion ordinary shares with a par value of USD 0.0001 each, keeping total authorised capital at USD 100,000.

• Issued share base steady – Issued shares (excluding treasury shares) closed the month at 645.72 million, identical to February’s level. – The company held no treasury shares, and no new shares were issued, repurchased or cancelled during March.

• Public float compliance affirmed – CLOUDR confirmed adherence to the Main Board’s minimum 25% public-float requirement as of 31 March 2026.

• Outstanding convertible instruments – A USD 4.50 million convertible bond issued on 17 March 2025 remains outstanding. – Conversion price: USD 2.10 per share, implying potential issuance of up to 16.65 million new shares if fully converted; no conversions occurred in March.

• Share award scheme capacity – Under the Post-IPO Share Award Scheme approved on 10 June 2022, up to 13.86 million new shares may still be allotted. No awards were vested or issued during the reporting month.

With no equity movements recorded, CLOUDR’s share structure and capital base were unchanged in March 2026, while convertible and share-award facilities continue to represent potential sources of future dilution.
