Xinming China delays circular for six-for-one rights issue to on or before 30 April 2026

Xinming China Holdings Limited announced a postponement in the despatch of the shareholder circular related to its proposed rights issue of six Rights Shares for every one existing share.

The circular—originally scheduled for release on or before 30 March 2026—will now be issued on or before 30 April 2026. Management cited the need for additional time to finalise information, including: 1) further details of the 2026 Rights Issue, 2) a recommendation from the Independent Board Committee to independent shareholders, 3) an independent financial adviser’s letter, and 4) the notice of the extraordinary general meeting.

The six-for-one offer is to be conducted on a non-underwritten basis. A revised timetable for the rights issue will be released once finalised.

The announcement was authorised by the board of Xinming China on 30 March 2026. Executive directors are Chen Chengshou and Shi Jianwen; independent non-executive directors are Chan Wai Yan, Huang Chunlian and Lee Yin Man.
