北京天星医疗股份有限公司（01609，以下简称“天星医疗”）8月18日发布自愿公告称，公司已获得股东批准授予董事会一般性回购授权，并计划在授权有效期内适时回购不超过290万股H股，占本公告日期已发行H股总数约5.29%。
根据公告，回购授权于2026年6月26日举行的公司2025年年度股东会上获通过，可回购的H股上限为5,483,134股，约占授权当日已发行H股总数的10%。董事会现决定在该授权框架下执行本次股份回购计划。
回购价格将不高于相关交易前五个交易日在香港联合交易所有限公司平均收市价的105%，资金来源为公司自有资金。回购股份将以库藏股份方式持有，可用于再次出售、股权激励计划或适用法规允许的其他用途。
公司表示，将严格遵守香港上市规则及其他适用法规，不会在导致公众持股量低于规定水平或向核心关联人士回购股份的情况下进行任何回购，并将按规定及时披露回购进展及库藏股份变动情况。
天星医疗董事会已授权董事长全权处理与H股回购相关的具体事宜。公告提醒股东及潜在投资者，回购的时间、数量及价格将视市况并由董事会酌情决定，投资者在买卖公司股票时应保持谨慎。
