WuXi XDC Cayman Inc. has reshaped its senior governance team, appointing two joint company secretaries and obtaining a three-year waiver from Hong Kong Listing Rules 3.28 and 8.17, effective 26 June 2026.
The Board confirmed the appointment of Ms Yuan Fang—currently Head of Investor Relations, Capital Markets, and Corporate Communication at WuXi XDC—as Joint Company Secretary and Authorized Representative. Ms Fang brings over 15 years’ experience in cross-border capital operations, finance, and corporate governance within the biopharmaceutical sector. Her prior roles include Head of Investor Relations at Brii Biosciences (June 2021–July 2023), Head of Corporate Developments at Arctic Vision (May 2020–May 2021), and Head of Investor Relations at I-Mab Biopharma (August 2018–May 2020). She holds an MBA from Jönköping International Business School (2013).
Ms Chung Man Nar Mona, Director of the Company Secretarial Services Department at TMF Hong Kong Limited, joins as the other Joint Company Secretary. Backed by more than 25 years in the company secretarial field, Ms Chung is an associate member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK).
Because Ms Fang does not yet satisfy the formal company secretary qualifications under Rule 3.28, the Stock Exchange has granted WuXi XDC a waiver spanning 26 June 2026 to 25 June 2029. Key conditions include: 1. Ms Fang will receive ongoing support from Ms Chung during the waiver period. 2. The waiver may be revoked upon any material breach of the Listing Rules.
Prior to the waiver’s expiry, the Company must demonstrate Ms Fang’s readiness to discharge company secretary duties without further relief.
Concurrently, Mr Xiaojie Xi has resigned as Company Secretary and Authorized Representative, while retaining his roles as Executive Director and Chief Financial Officer.
The Board expressed appreciation for Mr Xi’s past contributions and welcomed Ms Fang and Ms Chung to their new governance positions.
