丽珠医药拟公开要约收购越南IMP公司交易金额上限约18.46亿元

丽珠医药集团股份有限公司根据此前公告，计划收购越南上市公司Imexpharm Corporation（IMP公司）股份，并于2025年12月30日召开的第十一届董事会第三十一次会议审议通过相关决议。公告显示，此前各方已签署《框架协议补充协议》，将“交割结束日期”延长至2026年6月30日或更晚时间，以推进整项交易。

根据公告，本次收购交易拟支付的股权购买价格上限为6,891,442,278,000越南盾，按董事会审议当日的汇率中间价折算约为人民币18.46亿元。由于交易触发越南当地证券监管机构对于公开要约收购的规定，买方将向IMP公司全体股东公开发出收购要约，最高收购股份数量上限为120,059,970股，约占IMP公司注册资本的77.94%。

本次要约收购的要约价格为每股57,400越南盾（约合人民币15.37元），最低收购股份数量为99,839,990股，若未达到这一数量，买方有权提出撤回。由于该交易规模超5%但低于25%，根据香港上市规则第14章的规定，构成须予披露交易，需履行相应的申报及公告义务。当前公开要约收购仍有待越南国家证券委员会等主管部门审批，后续推进情况存在不确定性。
