Value Convergence Holdings Limited (Stock Code: 821) has announced that its rights issue, on the basis of two rights shares for every one existing share, became unconditional on 13 October 2025. As of the 10 October 2025 deadline, valid acceptances and applications totaled 48,784,915 rights shares, representing approximately 9.86% of the 494,704,608 available under the issue. This yielded gross proceeds of around HK$21,953,212. The under-subscription amounted to 445,919,693 rights shares, or 90.14% of the total.

After completion, the company’s share capital increased from 247,352,304 shares to 296,137,219 shares. Share certificates for the fully-paid rights shares are expected to be mailed on 20 October 2025, with dealings in these shares commencing on 21 October 2025. An arrangement has been made to assist shareholders in trading odd-lot shares between 21 October 2025 and 11 November 2025.

Due to the rights issue shortfall, a placing of 445,919,693 unsubscribed rights shares at HK$0.45 each is scheduled between 20 October 2025 and 31 October 2025, on a best-effort basis. Further announcements regarding the placing results will be released on or before 14 November 2025.

The company has also adjusted its share options. The exercise price for outstanding share options granted on 31 January 2023 will be adjusted from HK$1.45 to HK$1.41, and the number of shares issuable upon full exercise will be raised from 8,620,000 to 8,886,161. No corresponding adjustments are required for outstanding convertible bonds.
