Luxshare Precision Proposes Targeted Amendments to Articles of Association After Hong Kong H-Share Listing

Luxshare Precision Industry Co., Ltd. (Luxshare Precision) has announced plans to revise specific clauses in its Articles of Association following the successful completion of its H-share offering and subsequent listing on the Main Board of The Stock Exchange of Hong Kong Limited.

The company’s Board, at its 28th meeting of the sixth session, resolved to submit a series of “Proposed Amendments” for shareholder approval. The revisions are designed to align Luxshare Precision’s constitutional documents with: 1. Requirements stemming from the newly completed H-share listing. 2. Updated provisions in the 2026 Revision of the Rules Governing the Listing of Stocks on the Shenzhen Stock Exchange. 3. The latest Guidelines for the Articles of Association of Listed Companies.

All other articles will remain unchanged. The Proposed Amendments will be put to a vote via special resolution at an upcoming extraordinary general meeting (EGM). A detailed circular, EGM notice and proxy form will be issued in due course.

The announcement, dated 24 August 2026, was signed by Chairlady and Executive Director Ms. Wang Laichun on behalf of the Board. The current Board comprises five executive directors—Ms. Wang Laichun, Mr. Wang Laisheng, Mr. Qian Jiwen, Mr. Hao Jie and Mr. Chen Weihang—and three independent non-executive directors—Dr. Hou Lingling, Mr. Liu Zhonghua and Ms. Song Yuhong.
