爱达利网络控股有限公司（08033）5月29日发布公告称，公司将于2026年6月26日举行股东周年大会，提请股东审议并批准一项购回股份的一般授权。该授权上限为不超过截至股东大会当日已发行股份总数（不含库存股）的10%。据公告显示，公司于公告最后实际可行日期的已发行股份总数为6.16115亿股，若获股东通过，董事会可回购合计约6161.15万股。
公司方面透露，此次购回资金将依据百慕大法律及香港联交所GEM上市规则，从可合法动用的内部资金或股份溢价账等渠道安排，旨在提升股东回报、增强每股盈利能力，或根据董事会判断对公司和股东整体利益有利时执行。董事会表示，如果市况和资金状况允许，回购股份有望优化公司资本结构，并强调此次回购授权符合公司及全体股东的整体最佳利益。
根据公告，爱达利网络于过去十二个月的股价在每股0.096港元至0.142港元之间。董事会指出，如获大会通过，此次回购计划中的具体回购时点与规模将视公司资金状况、市场行情以及股东利益而定。公司当前已定于6月22日至6月26日暂停办理股份过户，并将于6月26日下午在香港北角召开股东周年大会审议相关议案。
