Hong Kong’s Takeovers Executive disclosed that Morgan Stanley & Co. International plc executed a series of small-scale derivative transactions in A shares of ENN Natural Gas Co., Ltd. on 4 June 2026, during the company’s proposed privatisation by way of scheme of arrangement.
The Class (5) associate, connected with the offeror, carried out three “other-type” derivative contracts for its own account under unsolicited client facilitation:
• Purchase of 42 underlying A shares at a reference price of RMB 19.55 per share, with a contract maturity of 9 March 2028, involving total consideration of RMB 821.10.
• Sale of 42 underlying A shares at the same reference price and maturity, generating proceeds of RMB 821.10.
• Sale of 100 underlying A shares at RMB 19.35 per share, maturing on 31 March 2027, for total proceeds of RMB 1,935.00.
All three trades leave Morgan Stanley with a resultant balance of zero shares or related derivatives in ENN Natural Gas.
The disclosure forms part of the ongoing monitoring requirements under Rule 22 of the Hong Kong Code on Takeovers and Mergers. Morgan Stanley & Co. International plc is ultimately owned by Morgan Stanley.
