XJ International (1765) Announces Proxy Form for Annual General Meeting

XJ International Holdings Co., Ltd. (Stock Code: 1765) has released a form of proxy for its upcoming annual general meeting. The meeting is scheduled for 27 February 2026 at 10:00 a.m. and will be held at 4/F, Executive Building, Sichuan TOP IT Vocational Institute, 2000 West District Avenue, Pidu District, Chengdu, Sichuan, China.

The proxy form details several ordinary resolutions. These include receiving and adopting audited consolidated financial statements for the year ended 31 August 2025, re-electing certain directors, authorizing the board to fix director remuneration, and re-appointing an auditor. Shareholders will also vote on granting general mandates to issue and repurchase shares, as well as extending the authority to issue additional shares.

Additionally, there is a proposal to raise the authorized share capital from US$100,000 to US$200,000 by creating an extra 10,000,000,000 shares of US$0.00001 each. A special resolution is included to approve amendments to the Third Amended and Restated Memorandum and Articles of Association and adopt a fourth amended and restated version, with immediate effect upon approval.

The completed proxy form and supporting documents must be submitted at least 48 hours before the meeting. Shareholders who attend in person will retain voting rights even if a proxy form has been submitted.
