伟志控股有限公司（01305）公告称，董事会已获提案授予一般及无条件授权，将于股东周年大会上寻求批准在公司已发行股本面值总额的10%范围内回购股份。截至本次通函最后可行日期，公司发行股份约2.19725亿股，若授权获股东通过，最多可回购约2197.25万股。
公司表示，回购所需资金将从可合法拨作此用途的资金中支付，并依据开曼群岛法规及香港适用法例进行。董事会认为，此举可进一步提升每股资产净值及/或每股盈利，从而符合公司及股东的整体利益。公司股份在过去12个月于联交所的最高成交价为每股1.05港元，最低为每股0.50港元。
公司股东周年大会定于2026年5月27日上午举行，届时将就上述授权进行表决。为办理相关手续，股份过户登记册将于2026年5月21日至5月27日（含首尾两日）暂停登记。
