China Wood International Holding Co., Limited has reported that its 1-for-1 rights issue, priced at HK$0.077 per share, achieved valid acceptances for 580.31 million shares as of the 28 August 2026 deadline, representing 58.80% of the 986.90 million shares offered.
A shortfall of 406.59 million shares (41.20% of the offer) remains. In line with Hong Kong Stock Exchange Listing Rule 7.21(1)(b), these unsubscribed rights shares will be disposed of through compensatory arrangements. Under a placing agreement signed on 18 June 2026, an independent placing agent will place the shares with third-party investors on a best-effort basis by 8 September 2026. Any premium above the HK$0.077 subscription price realised in the placement will be distributed pro rata, without interest, to shareholders who did not take up their entitlements, provided individual proceeds reach at least HK$100; smaller amounts will be retained by the company.
If any shares remain unplaced after the closing of the placing period, those shares will not be issued, and the final size of the rights issue will be reduced accordingly.
Completion of the rights issue remains subject to the Stock Exchange granting listing and dealing approval for the rights shares in both nil-paid and fully-paid forms. Shareholders and potential investors were cautioned that the transaction may not become unconditional and should exercise care when dealing in the company’s shares.
