山东黄金矿业股份有限公司（01787.HK，以下简称“山东黄金”）7月9日公告称，控股子公司山金国际黄金股份有限公司（简称“山金国际”）决定终止其全资子公司海南盛蔚贸易有限公司为另一全资子公司Osino Gold Exploration and Mining (Pty) Ltd.（简称“Osino Gold”）拟开具的履约保函担保事项。
此前，山东黄金于2025年9月1日召开第七届董事会第三次会议、9月19日召开2025年第四次临时股东会，审议通过《关于控股子公司山金国际全资子公司之间提供担保的议案》。议案拟由海南盛蔚向银行申请开具不超过2,600万美元的履约保函，期限自保函开立之日起十四年，用于保障Osino Gold与Solarcentury Africa Limited拟签订的太阳能发电购买合同履约。
公告显示，因Osino Gold与Solarcentury Africa Limited在电价机制、履约保障及风险分配等关键条款上未能达成一致，双方最终未签署相关合同，亦未向银行申请履约保函，担保额度尚未实际使用。为优化资源配置，山金国际决定终止该担保安排。
