Liaoning Port AGM Clears All Resolutions, Confirms Board Reshuffle and RMB0.286 Final Dividend per 10 Shares

Liaoning Port Co., Ltd. (02880) reported that every resolution submitted to shareholders at the 26 June 2026 annual general meeting (AGM) was approved by poll. A total of 17.66 billion shares—representing 74.91 % of the company’s 23.57 billion issued shares—were voted, with support rates exceeding 99 % across all seven ordinary resolutions.

The AGM endorsed a final cash dividend of RMB0.286 (tax included) for every 10 shares held for FY 2025. The dividend will be distributed on or before 1 September 2026 to shareholders on the H-share register as of 9 July 2026. Based on the People’s Bank of China’s five-day average exchange rate of RMB1.00 = HK$1.1498, H-share investors will receive HK$0.3288 per 10 shares. The company will withhold 10 % enterprise income tax from non-PRC corporate holders, while foreign individual shareholders are exempt under current PRC tax rules. ICBC (Asia) Trustee Company Limited has been appointed as the receiving agent for H-shareholders.

Shareholders re-elected or elected eight directors to the eighth Board session: Dr. Li Guofeng (executive and now chairman), Liu Bin, Yang Bing and Huang Zhenzhou (non-executive), Zhang Hong (employee representative), and independent non-executive directors Cheng Chaoying, Chan Wai Hei and Jiao Guangjun. Upon Jiao Guangjun’s appointment, Dr. Liu Chunyan retired as an independent non-executive director.

Committee roles were also realigned effective 26 June 2026: • Strategic & Sustainable Development Committee – chaired by Dr. Li Guofeng with Liu Bin and Huang Zhenzhou as members. • Nomination & Remuneration Committee – chaired by Jiao Guangjun with Dr. Li Guofeng and Cheng Chaoying as members. • Audit Committee – chaired by Cheng Chaoying with Liu Bin and Chan Wai Hei as members. • Financial Management Committee – chaired by Chan Wai Hei with Liu Bin and Cheng Chaoying as members.

Shareholders also confirmed BDO China Shu Lun Pan Certified Public Accountants LLP as external auditor for FY 2026.
