彼岸控股有限公司（02885）于公告中披露，董事会建议在即将召开的股东周年大会上授予股份购回授权，回购规模最高不超过公司已发行股本（不包括库存股）的10%。据公告显示，截至最后实际可行日期，公司已发行股份总数为4亿股，若授权获批，回购上限约为4000万股。
公告称，回购资金将根据开曼群岛公司法以及公司章程及香港联合交易所有限公司上市规则，从公司可合法用于回购的资金拨付。董事会认为，此举有助于提升股东回报，亦能在必要时灵活调整资本结构。公司过往股价于2025年4月至2026年4月期间，最高达到每股0.94港元，最低为每股0.456港元。
本次购回议案将提交股东周年大会表决，该大会订于2026年6月12日举行。公司同时宣布，将于2026年6月5日至6月12日期间暂停办理股份过户登记手续，以确定有权出席及投票的股东资格。董事会表示，倘相关决议案获得通过，预期回购安排将符合公司及股东的整体最佳利益。
