FE HOTELS Wins Full Shareholder Backing at 2026 AGM, Secures Board Re-elections and Fresh Capital Mandates

Far East Hotels and Entertainment Limited (FE HOTELS) confirmed that every motion tabled at its Annual General Meeting (AGM) on 2 September 2026 was approved by an overwhelming shareholder majority via poll voting.

A total of 752.53 million ordinary shares were eligible to vote. Turnout for key items ranged from 246.20 million to 254.20 million votes, with support levels at or above 99.92% for six of the seven resolutions and a minimum approval rate of 99.93% for director remuneration.

Key outcomes:

1. Financial Statements Adopted • The audited consolidated results for the year ended 31 March 2026, along with the directors’ and independent auditor’s reports, were adopted with 100% support (254.20 million votes in favour).

2. Board Composition Confirmed • Executive Director Ms. Amanda Chiu was re-elected unanimously (246.20 million votes). • Independent Non-Executive Directors Mr. Choy Wai Shek Raymond and Mr. Ng Chi Kin were re-elected with 99.93% approval (247.02 million and 254.01 million votes in favour, respectively).

3. Director Remuneration • The Board was authorised to set directors’ fees for FY 2027, backed by 99.93% of votes cast (254.02 million in favour).

4. Auditor Re-appointment • Deloitte Touche Tohmatsu will continue as independent auditor for FY 2027, securing unanimous approval (254.20 million votes).

5. Capital Management Mandates • A general mandate to issue new shares received 99.92% support (253.99 million votes). • Authority to repurchase shares garnered full backing (254.20 million votes). • The share issuance mandate can be extended by the amount of shares repurchased, with 99.99% approval (254.17 million votes).

No shareholder was required to abstain, and no votes were cast against the adoption of the financial statements, the auditor re-appointment, or the share buy-back mandate. Tricor Investor Services Limited acted as scrutineer. Except for Madam Chiu Ju Ching Lan and Mr. Alex Chiu, all other directors attended the meeting in person.
