MEGAIN Holding (Cayman) Co., Ltd. has issued notice of its annual general meeting, to be conducted exclusively through an eVoting portal on 29 June 2026 at 10:30 a.m. (Hong Kong time).
Key agenda items are as follows:
1. Financial Statements • Shareholders will vote on the adoption of the audited consolidated financial statements for the financial year ended 31 December 2025, together with the directors’ and auditor’s reports.
2. Board Composition • Re-election of three directors: non-executive director Ms Yu Erhao and independent non-executive directors Mr Li Huaxiong and Mr Kao Yi-Ping. • The board will be authorised to determine their respective remuneration.
3. Auditor Re-appointment • BDO Limited is nominated for re-appointment as external auditor until the conclusion of the next AGM, with remuneration to be set by the board.
4. General Mandates • Share Issuance: Directors seek authority to allot, issue or deal in additional shares up to 20% of the company’s issued share capital (excluding any treasury shares) during the defined “Relevant Period.” • Share Buyback: Authority is requested to repurchase shares up to 10% of issued share capital (excluding any treasury shares) over the same period, in line with Hong Kong Listing Rules. • Mandate Extension: Shares repurchased under the buyback mandate may be added to the pool of shares available for issuance under the 20% mandate.
Logistics and Voting Arrangements • Shareholders recorded on the register at 4:30 p.m. on 23 June 2026 will be eligible to vote. The register will be closed from 24 June 2026 to 29 June 2026, inclusive. • Proxy forms must reach Tricor Investor Services Limited by 10:30 a.m. on 27 June 2026. • All resolutions will be decided by poll, and the AGM proceedings will be conducted in Putonghua.
The board is chaired by Mr Cheng Hsien-Wei and currently comprises one executive director, two non-executive directors and three independent non-executive directors.
