博泰车联科技（上海）股份有限公司（下称“博泰车联”，02889）在香港联交所上市。公司近日公告，计划于2026年3月26日举行临时股东大会，拟向董事会授予一般性授权，可在满足上市规则及相关法律法规的前提下，于联交所回购不超过公司已发行H股（不含库存股份）总数10%的股份。
据公告披露，博泰车联现有约7,099.7847万股H股已发行，回购授权的上限约为709.97847万股。公司董事会表示，将主要使用公司内部资金作为回购来源。根据资料，截至2025年6月30日，公司拥有约9.2621亿元人民币的流动现金资源，认为此举可在保持稳健财务状况的同时，为股东争取更大回报。
公告称，此次股份购回将使公司能更灵活地调整资本结构，强化对每股价值的长期支持。董事会认为，上述议案若在临时股东大会上获得通过，将符合公司及全体股东的整体利益。
临时股东大会将于2026年3月26日上午10时在中国上海虹口区东长治路866号3701室召开，期间将审议并表决该购回议案。根据公告，公司自2026年3月23日至3月26日暂停办理H股过户登记，届时名列股东名册者可出席本次会议并行使投票权。
