Centurion Corporation outlines conditional record date for proposed CAREIT unit distribution

Centurion Corporation Limited has issued details of its proposed dividend in specie involving the distribution of units in Centurion Accommodation REIT (CAREIT).

The company said the payout remains subject to shareholder approval at the annual general meeting scheduled for Apr, 28 2026 at the Suntec Singapore Convention & Exhibition Centre.

If approved, the share transfer books and register of members will close at 5:00 p.m. Singapore time on May, 18 2026, which will serve as the record date for determining entitlements. Eligible shareholders will receive one CAREIT unit for every ten Centurion shares held as of that date, with fractional entitlements to be disregarded.

Shareholders with registered addresses outside Singapore are deemed overseas shareholders and may face restrictions under local securities laws. Where distribution of CAREIT units is not feasible, the board may arrange for the units to be sold and net proceeds remitted to the affected investors in proportion to their entitlements.

Centurion added that a similar arrangement will be applied to overseas shareholders holding shares in certificate form. The company advised all overseas investors to review the “Important Notice to Overseas Shareholders” section in the related shareholder circular released on Apr, 06 2026.
