GRCB Schedules 29 May 2026 H-Shareholders Class Meeting to Vote on Articles of Association Amendments

Guangzhou Rural Commercial Bank Co., Ltd. (GRCB) has issued a proxy form for its First H Shareholders Class Meeting of 2026, to be held on 29 May 2026 at 10:30 a.m. on the 13th floor of No. 1 Huaxia Road, Pearl River New Town, Tianhe District, Guangzhou. The session will start after the conclusion of the 2025 annual general meeting and the First Domestic Shareholders Class Meeting scheduled for the same day, whichever ends later.

The sole agenda item is a special resolution seeking shareholder approval for proposed amendments to the bank’s Articles of Association. H-share investors can vote “For,” “Against,” or “Abstain” on the resolution, and any abstention will be counted in calculating the total vote tally.

H-shareholders may appoint the chairperson of the meeting—or another individual—as proxy. Completed proxy forms, together with any required authorization documents, must be lodged with the bank’s H-share registrar, Computershare Hong Kong Investor Services Limited, no later than 24 hours before the meeting. Completion of the proxy form does not preclude shareholders from attending and voting in person.

Attendees—whether shareholders or proxies—must present valid identification. In the case of joint shareholdings, only the first-named shareholder on the register is entitled to vote. The bank also notes it is not an authorized institution under Hong Kong’s Banking Ordinance and therefore is not supervised by the Hong Kong Monetary Authority.
