上海傅里叶半导体股份有限公司（傅里叶，股票代码：03625）公告称，拟向董事会授予一般性授权，回购最多相当于已发行H股总数10%的股份。根据公司公告，若在股东大会通过授权之日的H股数量不再变动，此次最多可回购11,088,980股H股。公司拟通过符合中国公司法及香港联合交易所有限公司上市规则的合法资金进行购回。
回购意在进一步提升公司价值及回馈股东，董事会认为此举符合公司及股东的整体最佳利益。公司目前已发行股份总数为112,000,000股，其中H股约110,889,800股。公司表示，将在股东大会审议通过后，于授权有效期内实施该回购计划。根据此前公布的历史股价信息，傅里叶于2026年3月31日上市以来，3月最高成交价为每股87.00港元、最低78.00港元；4月最高153.00港元、最低74.00港元；5月（截至最后可行日期）最高139.60港元、最低124.30港元。
公告同时披露，傅里叶2025年年度股东大会将于2026年6月5日召开，审议包括回购H股提案在内的多项决议，并暂定自2026年6月2日至6月5日暂停办理H股股份过户登记。公司强调，如授权获得批准，董事会将严格遵守相关法律法规及公司组织章程细则，仅在认为有利于公司及股东整体利益的情况下酌情行使回购权。
