DualityBio Signs US$45.00 Million Upfront Collaboration With Genentech to Advance DUPAC-Based Next-Generation ADCs

Duality Biotherapeutics, Inc. (DualityBio) has entered into a global research, development and license agreement with Genentech, Inc., a member of the Roche Group, aimed at creating next-generation antibody-drug conjugates (ADCs) built on DualityBio’s proprietary DualityBio Unique Payload Antibody Conjugate (DUPAC) platform for oncology indications. The agreement was executed on 27 August 2026.

Under the Collaboration Agreement, DualityBio will lead discovery and Phase 1a clinical development for multiple ADC programs. Genentech will receive exclusive worldwide rights to the resulting assets and will assume sole responsibility for subsequent clinical development and commercialization after Phase 1a completion.

Financial terms include: • Upfront payment: US$45.00 million to DualityBio. • Milestones: Potential development, regulatory and commercial payments exceeding US$1.00 billion across all programs. • Royalties: Tiered royalties on global net sales of any approved products arising from the collaboration.

Strategic rationale centers on addressing tumor resistance to existing ADC payload classes. DUPAC integrates novel mechanisms—such as payloads DUP5, DUP9 and DUP10—demonstrated preclinically to retain activity in tumor models less responsive to topoisomerase inhibitor payloads. DualityBio’s early-stage R&D capabilities, combined with Genentech’s global oncology development and commercialization infrastructure, are expected to accelerate advancement and broaden patient access to differentiated therapies.

The companies highlighted preclinical data supporting DUPAC’s potential, previously presented at AACR 2025 and 2026 and the AACR-NCI-EORTC 2025 conference. DualityBio emphasized that, while the partnership provides substantial development resources and global reach, successful commercialization of any resulting products remains subject to clinical, regulatory and market uncertainties.
