Keep Inc. Adds 200,000 Shares to Treasury After Latest Buyback, Treasury Stock Now 13.00 Million

Keep Inc. (HKEX: 03650) disclosed that it repurchased 200,000 ordinary shares on 3 September 2026, paying an average price of HK$1.54 per share within a high-low range of HK$1.60-HK$1.48. The transaction cost approximately HK$0.31 million.

Prior to the purchase, Keep Inc. had 497.48 million issued shares (excluding treasury stock) and 12.80 million treasury shares. Following the buyback, the public float fell by 0.04 percentage points to 497.28 million shares, while treasury holdings increased to 12.99 million shares—about 2.55% of the 510.28 million total issued shares.

The repurchase was executed under the mandate approved on 4 June 2026, which permits the company to buy back up to 50.24 million shares. Cumulative on-market repurchases under this mandate now stand at 5.14 million shares, equivalent to 1.02% of the shares outstanding on the mandate date. A 30-day moratorium on new share issues or treasury share sales is in place until 3 October 2026.

Separately, Keep Inc. also holds 3.52 million shares that were previously repurchased between January and mid-April 2026 for cancellation but had not yet been cancelled as of 3 September 2026.

The board confirms that all buybacks complied with Hong Kong Stock Exchange listing rules and the company’s previously issued explanatory statement.
