HUAJIN INTL AGM: All Resolutions Secure 100% Shareholder Support, New Issuance and Buy-Back Mandates Renewed

Huajin International Holdings Limited reported that every proposal at its 25 June 2026 annual general meeting (AGM) was approved by a unanimous poll, underscoring solid shareholder alignment on governance and capital-management matters.

The meeting covered 600 million issued shares, all of which carried voting rights. A total of 419.04 million shares—representing the entire voting pool present either in person, by proxy, or via authorised corporate representative—voted in favour of each resolution, with zero votes against.

Key outcomes: 1. Financial Reporting: The audited consolidated statements for the fiscal year ended 31 December 2025, together with directors’ and auditor’s reports, were adopted. 2. Board Composition: Executive directors Xu Songqing and Chen Chunniu, along with non-executive director Xu Jianhong, were re-elected. The board was authorised to set directors’ remuneration. 3. Auditor: KTC Partners CPA Limited was re-appointed, and the board received authority to determine its fees. 4. Capital Authorities: • General mandate to issue, allot, and deal with unissued shares was renewed. • General mandate to repurchase issued shares was renewed. • Subject to the above mandates, the issuance mandate was extended by adding the number of shares repurchased to the available allotment limit.

No shares carried restrictions, no shareholders were required to abstain, and no treasury shares or repurchased shares were outstanding; consequently, the full issued share capital was eligible for voting.

Union Registrars Limited acted as meeting scrutineer. All directors except Mr. Ou Qiyuan attended either in person or electronically.

With unanimous approval across governance, audit, and capital-management mandates, Huajin International retains full flexibility for equity issuance and share buy-backs ahead of its next shareholder meeting.
