MARKETINGFORCE to Issue 12.33 Million Shares, Raising Approximately HK$500 Million Net Proceeds

MARKETINGFORCE (02556) announced that on May 15, 2026, the company entered into two separate subscription agreements with two subscribers. Under these agreements, the company conditionally agreed to allot and issue, and the subscribers conditionally agreed to subscribe for, a total of 12,333,400 shares at a subscription price of HK$40.54 per share.

The two subscribers will collectively subscribe for 12,333,400 shares, representing approximately 4.83% of the company's existing issued share capital (excluding treasury shares) as of the date of this announcement, and approximately 4.61% of the company's issued share capital (excluding treasury shares) as enlarged by the allotment and issuance of the subscription shares.

The gross proceeds from the subscription are expected to be approximately HK$500 million. The net proceeds, after deducting all applicable costs and expenses, are estimated to be approximately HK$499.7 million.

The group plans to allocate 100% of the net proceeds from the subscription to invest in the construction and operation of intelligent computing infrastructure. This includes, but is not limited to, the procurement of GPU servers, networking, AIDC leasing, and the development and deployment of various AI large models and model management platforms, along with other intelligent computing-related software.

The investment aims to solidify the computing power foundation for the group's "Full-Stack Token Factory" strategy. It is primarily intended to meet the AI application computing power demands of clients, enhance the training efficiency of the group's proprietary vertical models, and further establish a business closed-loop integrating "computing power + application scenarios."
