Raffles Education issues 876,923 new shares on bond conversion

Raffles Education Limited (NR7) has converted S$57,000 in principal amount of its outstanding convertible bonds into equity, the company said in a filing dated February 20, 2026.

The conversion, completed on February 16, 2026, resulted in the allotment and issuance of 876,923 new ordinary shares at a conversion price of S$0.065 per share.

Following the transaction, the group’s issued share capital increased to 1,539,506,798 ordinary shares from 1,538,629,875 previously. The number of convertible bonds outstanding declined to S$38.83 million from S$38.88 million.

The newly issued shares will be listed and quoted on the Singapore Exchange Mainboard on February 23, 2026, with trading set to begin at 9:00 a.m.

The convertible bonds were originally issued in 2022 through a rights issue and placement exercise. All conversion shares rank pari passu with existing ordinary shares.
