Persistence Gold to Acquire 20.96% of GoldStone Resources for GBP 3.52 Million, Gains Board Seat

Persistence Gold Group Ltd (“Persistence Gold”, stock short name: PERSISTENCEGOLD) has signed an Investor Agreement to purchase 351.59 million ordinary shares of GoldStone Resources Limited (“GoldStone”) at GBP 0.01 per share, representing a 20.96% equity interest, for total consideration of about GBP 3.52 million.

Under the terms of the deal, Persistence Gold secures the right to nominate one director to GoldStone’s board while its holding remains at or above 15%. Dr. Jeffrey Malaihollo is expected to assume this non-executive director role.

The transaction marks Persistence Gold’s first overseas investment. The Board expects the stake to broaden the Group’s resource base, diversify operations, and provide exposure to African gold exploration.

GoldStone operates on Ghana’s Ashanti Gold Belt. Key assets include: • Homase Gold Mine – an open-pit, heap-leach operation with a combined measured, indicated and inferred JORC-compliant resource of 10.60 million tonnes grading 1.77 g/t gold (about 600,000 troy ounces). • Akrokeri Underground Gold Mine – historically produced roughly 75,000 troy ounces at an average recovered grade of 24 g/t gold before ceasing operations in 1909. • A binding memorandum to acquire 50% of a Sierra Leone gold project adjacent to the Boamuhun Gold Mine.

The Homase and Akrokeri licences encompass 4.4 km of identified mineralised strike, with parallel structures highlighted by historic drilling (last undertaken in 2012). Funds from Persistence Gold’s investment will be directed toward further development of Homase, including resource-upgrade drilling and initiation of a feasibility study on the sulphide ore.

Persistence Gold confirms that GoldStone is an independent third party, and all applicable percentage ratios for the transaction are below 5%, meaning the acquisition is neither a notifiable nor a connected transaction under Hong Kong Listing Rules.
