SWHY Posts 82.46% Surge in FY2025 Net Profit; Proposes RMB 2.75 Billion Cash Dividend and Plans Up-to-RMB 9.6 Billion Bond Issue

Shenwan Hongyuan Group Co., Ltd. (SWHY) has released its 2025 AGM circular, detailing a marked earnings rebound, a higher cash payout, and new financing and governance initiatives.

Financial Performance (FY2025) • Operating income climbed 30.29% year-on-year to RMB 24.26 billion, driven by stronger brokerage, investment banking, and investment returns. • Net profit soared 68.42% to RMB 10.53 billion; net profit attributable to shareholders advanced 82.46% to RMB 9.51 billion. • Weighted average ROE improved to 8.76%, a 3.68-percentage-point increase. • Total assets rose 6.30% to RMB 741.55 billion; equity attributable to shareholders increased 6.50% to RMB 111.60 billion.

Dividend Proposal • The Board proposes a final cash dividend of RMB 0.75 per 10 shares, adding to the interim RMB 0.35 already paid. • Full-year cash distribution will reach RMB 1.10 per 10 shares, amounting to RMB 2.75 billion—28.97% of 2025 parent-company net profit. • Payment is targeted within two months after shareholder approval at the 26 June 2026 AGM.

Capital Plan • The company seeks shareholder approval to register and publicly issue corporate bonds of up to RMB 9.60 billion on the Shenzhen Stock Exchange. Proceeds are earmarked for debt repayment and technology-innovation projects. • Bonds may carry maturities of up to ten years with fixed coupons; issuance can be split into multiple tranches.

Governance & Compliance • KPMG is recommended for re-appointment as principal auditor for 2026 with a combined audit fee (including Pan-China’s contribution) of RMB 6.22 million. • The AGM will vote on revised Remuneration Management Measures, expanding coverage to directors and tightening deferral and claw-back rules aligned with new corporate-governance standards. • The board proposes estimated ordinary related-party transactions for 2026, chiefly involving China Jianyin Investment, Central Huijin and other state-linked entities.
